§ 4142. Conversion authorized

  • (a) By complying with sections 4143 through 4146 of this title, a domestic limited liability company may become a domestic organization that is
    a different type of organization. (b) By complying with sections 4143 through 4146 of this title, a domestic limited liability company may convert into a different type of foreign
    organization if the conversion is authorized by the foreign statute that governs the
    organization after conversion and the converting organization complies with the statute. (c) By complying with sections 4143 through 4146 of this title, a domestic organization may become a domestic limited liability company. (d) By complying with sections 4143 through 4146 of this title applicable to foreign organizations, a foreign organization that is not a foreign
    limited liability company may become a domestic limited liability company if the conversion
    is authorized by the law of the foreign organization’s jurisdiction of formation. (e) If a protected agreement contains a provision that applies to a merger of a domestic
    limited liability company but does not refer to a conversion, the provision applies
    to a conversion of the company as if the conversion were a merger until the provision
    is amended after July 1, 2016 or after the date the organization elects to become
