§ LG.501.307. SUITS OR RIGHTS NOT AFFECTED
SUITS OR RIGHTS NOT AFFECTED. (a) An amendment to a corporation's certificate of formation does not affect: (1) any existing cause of action in favor of or against the corporation; (2) any pending suit to which the corporation is a party; or (3) the existing rights of any person. (b) If a corporation's name is changed by amendment to the certificate of formation, a suit brought by or against the corporation under its former name does not abate for that reason. Added by Acts 2007, 80th Leg., R.S., Ch. 885 (H.B. 2278 ), Sec. 3.01, eff. April 1, 2009.
