§ 61-3-116. Change of registered agent or address for registered agent by limited partnership.
A limited partnership or registered foreign limited partnership may change its registered agent or the address of its registered agent by delivering to the secretary of state for filing a statement of change that states: The name of the limited partnership or registered foreign limited partnership; The street address of its current registered office; If the current registered office is to be changed, the street address of the new registered office and zip code for the office, and the county in which the office is located; The name of its current registered agent; and If the current registered agent is to be changed, the name of the new registered agent. The general or limited partners of a limited partnership need not approve the delivery to the secretary of state for filing of: A statement of change under this section; or A similar filing changing the registered agent or registered office, if any, of the partnership in any other jurisdiction. A statement of change under this section designating a new registered agent is an affirmation of fact by the limited partnership or registered foreign limited partnership that the agent has consented to serve. As an alternative to using the procedure in this section, a limited partnership may amend its certificate of limited partnership. Acts 2017, ch. 440, § 1.
