§ 1776.06.
(A) Except as otherwise provided in this section, the law of the jurisdiction in which
a partnership has its chief executive office governs relations among the partners
and between the partners and the partnership. (B) The law of this state governs relations among the partners and between the partners
and the partnership, and the liability of partners for an obligation, of a limited
liability partnership. (C) The law of this state governs relations among the partners and between the partners
and the partnership of any partnership other than a limited liability partnership
if the partnership agreement, by its terms, provides that the laws of this state govern
the partnership agreement. (D) The laws of a specified jurisdiction other than this state govern the relations among
the partners and between the partners and the partnership of any partnership other
than a limited liability partnership, if the partnership agreement, by its terms,
provides that the laws of that jurisdiction govern the partnership agreement and that
jurisdiction allows that election. (E) A partnership governed by this chapter is subject to any amendment to or repeal of
any or all of the sections in this chapter.
