§ 66-71. 6. Execution of certificate.
An assumed business name certificate must be executed as follows: In the case of an individual, the certificate must be signed by the individual. In the case of a partnership or limited partnership, the certificate must be signed by a general partner. In the case of a corporation or limited liability company, the certificate must be signed in the name of the corporation or limited liability company by an officer of the corporation or a manager of the limited liability company or by another individual authorized by law to act for the corporation or limited liability company. In the case of any other person, the certificate must be signed in the name of the person by an individual authorized to act for the person. History (2016-100, s. 2; 2017-23, s. 1.) Editor's Note. - Session Laws 2016-100, s. 12, provides, in part: "Sections 1 through 9 of this act become effective July 1, 2017, and do not affect a civil action or proceeding commenced or a right accrued before July 1, 2017. Sections 1 through 9 of this act become effective only if funds are appropriated by the 2015 General Assembly, 2016 Regular Session, to implement the provisions of G.S. 66-71.9, as enacted by Section 2 of this act." The appropriation was made. Session Laws 2017-23, s. 1, provides, in part: "The implementation of Article 14A of Chapter 66 of the General Statutes, the Assumed Business Name Act, as enacted by S.L. 2016-100, is postponed to December 1, 2017."
