§ 62-2-11. Increase or decrease of capital stock
The capital stock of any such corporation may be increased or diminished at any meeting
of the stockholders, but may only be done by a two-thirds vote of all the shares of
stock, but in no case shall the capital stock be reduced below the outstanding indebtedness
and liabilities of the corporation.
