§ 15a:5-8.
a. The officer or agent having charge of the membership record books for a corporation
shall make and certify a complete list of the members entitled to vote at a members'
meeting or any adjournment thereof. A list required by this subsection may consist of cards arranged alphabetically. The list shall: (1) Be arranged alphabetically within each class, series, or group of members maintained
by the corporation for convenience of reference, with the address of each member; (2) Be produced at the time and place of the meeting; (3) Be subject to the inspection of any members during the whole time of the meeting;
and (4) Be prima facie evidence as to who are the members entitled to examine the list
or to vote at any meeting. b. If the requirements of this section have not been complied with, the meeting shall,
on the demand of any member in person or by proxy, be adjourned until the requirements
are complied with. Failure to comply with the requirements of this section shall not affect the validity
of any action taken at the meeting prior to the making of any such demand.
