§ 17119. Change of Registered Agent or Address for Registered Agent by Limited Cooperative
Association.
(a) A limited cooperative association or registered foreign cooperative may change its registered agent
or the address of its registered agent by delivering to the Director of Revenue and Taxation for filing a
statement of change that states:
(1) the name of the association or foreign cooperative; and
(2) the information that is to be in effect as a result of the filing of the statement of change.
(b) The members or directors of a limited cooperative association need not approve the filing of:
(1) a statement of change under this Section; or
(2) a similar filing changing the registered agent or registered office, if any, of the association in
any other jurisdiction.
(c) A statement of change under this Section designating a new registered agent is an affirmation of
fact by the limited cooperative association or registered foreign cooperative that the agent has consented to
serve.
(d) As an alternative to using the procedure in this Section, a limited cooperative association may
amend its articles of organization.
