§ 3401. Notice of Dissenters’ Rights.

(a) If proposed corporate action creating dissenters' rights under § 3302

is submitted to a vote at a stockholders' meeting, the meeting notice must

state that stockholders are or may be entitled to assert dissenters' rights

under Articles 3 and 4 of this Chapter and be accompanied by a copy of §§

3301 through 3502 of this Chapter.

(b) If corporate action creating dissenters' rights under § 3302 is taken

without a vote of the stockholders, the corporation shall notify in writing all

stockholders entitled to assert dissenters' rights that the action was taken and

send them the dissenters' rights notice described in §3403 of this Article.
