§ 2210. Meetings Ordered.

Whenever, from any cause, there is no person authorized to call a

meeting, or when the officer authorized to do so refuses, fails, or neglects to

call a meeting, the judge of the Superior Court, on the showing of good

cause thereof, may issue an order to any stockholder or member of a

corporation, directing him to call a meeting of the corporation by giving the

proper notice required by this Part or the bylaws; and if there be no person

legally authorized to preside at such meeting, the judge of the Superior

Court may direct the person calling the meeting to preside at the same until

a majority of the members of stockholders representing a majority of the

stock present and permitted by law to be voted have chosen one of their

number to act as presiding officer for the purpose of the meeting.
