§ 15110. Amendments to Articles of Organization.
(a) The articles of organization of a limited liability
company shall be amended when:
(1) There is a change in the name of the limited
liability company or in the amount or character of the
contributions to capital.
(2) There is a change in the character of the business of
the limited liability company.
(3) There is a false or erroneous statement in the
articles of organization.

(4) There is a change in the time as stated in the
articles of organization for the dissolution of the limited
liability company.
(5) A time is fixed for the dissolution of the limited
liability company, if no time is specified in the articles of
organization.
(6) The members desire to make a change in any other
statement in the articles of organization in order for it to
accurately represent the agreement between them.
(b) The form for evidencing an amendment to the articles of
organization of a limited liability company shall be promulgated
by the Department of Revenue and Taxation and shall contain
such terms and provisions consistent with this Chapter as shall
be determined by the Department of Revenue and Taxation. The
amendment shall be signed and sworn to by all members, and an
amendment adding a new member shall be signed also by the
member to be added; thereafter the amendment shall be
forwarded to the Department of Revenue and Taxation for filing,
accompanied by the requisite filing fee.
