§ 607.601. Application and effect of part.

(1) This part applies to a benefit corporation and does not affect a corporation that is not a benefit corporation. (2) Except as provided in this part, this chapter applies generally to all benefit corporations. (3) A benefit corporation may be simultaneously subject to this part and to one or more chapters, including chapter 621. In such event, this part takes precedence with respect to a benefit corporation. (4) Except as authorized by this part, a provision of the articles of incorporation or bylaws of a benefit corporation, or a shareholders agreement among shareholders of a benefit corporation, may not limit, be inconsistent with, or supersede a provision of this part.
