§ 30.0116. Beginning and duration of corporate existence.

(a) Upon executing the articles of incorporation and causing the same to be filed, and the same having been recorded and the statutory fees provided for having been paid, the persons so associating, and their successors and assigns, shall from the date of the issuance of the certificate of incorporation be and constitute a body corporate, by the name set forth in the certificate subject to dissolution as provided in this chapter. (b) The duration of a corporation, if not limited in the articles of incorporation, is perpetual.
